These Terms & Conditions (“Terms”) govern all quotations, sales, supplies, services, installations, training programs, and engineering solutions provided by Mecwerx (“Company”, “we”, “us”). By placing an order or engaging our services, the client (“Customer”) agrees to the following Terms.
1. Scope of Work
1. Scope will be defined in the quotation, proposal, or purchase order acknowledgment.
2. Any work outside the defined scope will be treated as additional and billed separately.
3. Design changes requested after approval may affect delivery timelines and pricing.
2. Quotations & Pricing
1 . All prices are valid for 30 days unless specified otherwise.
2 . Pricing excludes taxes, duties, and shipping unless clearly mentioned.
3 . Any foreign currency fluctuation, material price increase, or supplier change may result in price revision.
4 . Quotation does not guarantee stock availability unless confirmed at order time.
3. Purchase Orders
1 . Orders must be submitted in writing (PO/Email/Official Confirmation).
2 . The Company reserves the right to accept or decline any order.
3 . Once accepted, orders cannot be cancelled without written approval. Cancellation charges may apply.
4. Payment Terms
1 .Standard payment terms: Advance + Milestone / Delivery-based as specified in the quotation.
2 .Delayed payment will attract interest at 18% per annum or the maximum rate permitted by law.
3 .Goods and services remain the property of Mecwerx until full payment is received.
5. Delivery & Lead Time
1 .Lead times are estimates and may vary due to material availability, design iterations, or external factors.
2 .Delays caused by the Customer (late approvals, incomplete data, design changes) extend timelines automatically.
3 .Risk transfers to the Customer upon dispatch of goods. Insurance, if required, must be requested in writing.
6. Installation & On-Site Work
1 Customer must provide safe access, power, tools (if needed), and required permits to execute installation.
2 .Any idle time caused by site non-readiness will be billed as additional charges.
3 .Mecwerx is not liable for delays caused by site conditions, labour restrictions, or safety non-compliance at the Customer’s location.
7. Design, Engineering & Custom Solutions
1 .All design concepts, CAD models, drawings, and documentation created by Mecwerx remain intellectual property
of Mecwerx unless transferred under a separate agreement.
2 .Customer must provide accurate input data, specifications, and reference drawings.
3 .Changes requested after design freeze will result in revised timelines and cost adjustments.
8. Warranty
1 .Warranty applies only to items supplied or manufactured by Mecwerx as specified in the quotation.
2 .Warranty excludes wear-and-tear components, misuse, incorrect installation, unapproved modifications,electrical surges,
improper maintenance, or unsafe operation.
3 .For third-party products, OEM warranty terms will apply.
8.4 Warranty service is limited to repair or replacement of faulty components, not downtime compensation.
9. Returns & Replacements
1 .Returns are accepted only after written approval from Mecwerx.
2 .Custom-made items are non-returnable.
3 .Goods must be unused and returned in original condition.
4 .Replacement timelines depend on manufacturer availability.
10. Liability
1 .Mecwerx is not liable for production losses, downtime, indirect or consequential damages, Customer misoperation, or failure to follow instructions.
2 .Maximum liability is limited to the value of the product or service provided.
11. Training Services
1 .Training modules cover practical shop-floor skills but do not guarantee job performance outcomes.
2 .Mecwerx is not responsible for injuries caused by customer negligence or unsafe environments during training.
3 .Training materials remain the property of Mecwerx and may not be reproduced without consent.
12. Confidentiality
1 .Both parties agree to keep shared documents, drawings, prices, and proprietary information confidential.
2 .Customer shall not share Mecwerx designs, training content, or technical documentation with third parties.
13. Force Majeure
1 .Mecwerx is not responsible for delays or failures due to events beyond reasonable control, including strikes,
supplier delays, accidents, natural events, or government restrictions.
14. Governing Law
1 .These Terms are governed by the laws of India. Any disputes shall be resolved in the jurisdiction of [Your City] Courts.
15. Acceptance
1 .By issuing a purchase order, making payment, or accepting delivery of products/services, the Customer acknowledges
and accepts these Terms & Conditions.
